Articles of Association

Article I: Name
The name of this association is The National Association of Catholic Nurses, USA
Article II: Location
This Association operates out of the Diocese of Joliet, Illinois by permission of the local Ordinary. The official mailing address of the Association is: c/o Blanchette Catholic Center, 16555 Weber Road, Crest Hill, IL 60403. 815-221-6100. However this may be changed at the discretion of the Board of Directors.
Article III: Purpose
The purpose of this Association is to foster spiritual growth, to promote Catholic values, and to clarify nursing ethics through educational and spiritual programs for Catholic nurses and student nurses within the United States and its territories.
Article IV: Control and Management
The powers and duties of this Association shall be vested in and exercised by a Board of Directors as provided for in the Bylaws of this Association.
Article V: Members
The membership of this Association shall be vested in and exercised by a Board of Directors as provided for in the Bylaws of this Association.
Article VI: Affiliation
This Association is a full voting member of Comite International Catholique Des Infirmieres et Assistantes Medico-Sociales/International Catholic Committee of Nurses and Medico – Social Assistants (C. I. C. I. A. M. S.). The National Association Catholic Nurses, USA is a full voting member of CICIAMS.
Article VII: Association Status
This Association is a not – for profit organization.
Article VIII: Duration
The existence of this Association shall be perpetual.
Article IX: Bylaws
This Association will adopt bylaws, and may adopt rules and regulations for the governance of this Association, and may alter, amend and abrogate the same, provided that said Bylaws, rules and regulations conform to the laws and teachings of the Catholic Church and will comply with U. S. laws regarding Associations.
Article X: Amendment
Changes to the Articles of Association and By – laws must be submitted in writing to the By – laws Committee within 9 months of the biennial convention. After review, the Chair of the By – laws Committee will forward the proposed amendment(s) to the President and Board of Directors. The membership shall be notified of the proposed amendment(s) and voting will take place at the biennial convention.
Article XI: Dissolution
In the event of dissolution, the assets remaining after payment of all just debts and costs shall be paid to a Catholic charity determined by the Board of Directors.
